Automatic revocation is the process in which the IRS revokes a nonprofit’s tax-exempt, 501(c)(3) status in part for failure to file Form 990 for three consecutive years.  If your organization’s 501(c)(3) status has been revoked, here’s what it means to your business:

Assumed Business Name Forms (D/B/A) = Doing Business As – $75

What is DBA?

Technically, a DBA is a short term for “Doing Business As” which is also recognized as an Assumed Business Name form. An Assumed Business Name is not the legal name of a business; rather, it is the name a business presents to the public. An Assumed Business Name is also called a “Doing Business As” name. An example of a DBA would be a business incorporated as “Clarion Investments, Inc.” might have a D/B/A of “Clarion Financial Services.”

North Carolina has changed the laws for DBA’s. Under the new law, you no longer have to file a Certificate of Assumed Business Name with the Register of Deeds for every county in which you conduct business. Instead, you can simply file a Certificate of Assumed Business Name with a single register of deeds in any county in which you do business. On that form, you can specify a maximum of 5 names of the other counties in which you do business and avoid having to file in every county in which you do business.

What if I already have a DBA? How does this new law affect me?

Unfortunately, if you filed a Certificate of Assumed Business Name under the old system (prior to December 1, 2017), then your certificate will expire on December 1, 2022 when the old operating system will no longer be operational. In order to continue using your assumed business name, you will need to file a Certificate of Assumed Business Name on the newly revised form. If you want your D/B/A to be searchable in the statewide database, you should consider filing the revised form prior to the December 1, 2022 expiration date.
